1. Agreement to Terms

By accessing or using Tonemark ("Service"), operated by Ultrathink ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

We are a company based in the European Union (Poland). These Terms are governed by the laws of Poland and the European Union.

2. Description of Service

Tonemark is an AI-powered content creation platform that helps you:

• Create personalized content using AI that learns your writing style
• Build and manage brand voices and personas
• Generate content for LinkedIn, blogs, and other platforms
• Connect social media accounts to publish content directly
• Store knowledge and facts for AI-grounded content generation

3. Account Registration

To use Tonemark, you must:

• Be at least 16 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree NOT to use Tonemark to:

• Generate spam, misleading, or deceptive content
• Create content that violates any laws or regulations
• Impersonate others or misrepresent your identity
• Generate hateful, discriminatory, or harmful content
• Create content that infringes on intellectual property rights
• Distribute malware or engage in any malicious activities
• Attempt to circumvent usage limits or security measures
• Resell or redistribute the Service without authorization

We reserve the right to suspend or terminate accounts that violate these terms.

5. Intellectual Property

5.1 Our Intellectual Property

Tonemark, including its design, features, AI models, and underlying technology, is owned by Ultrathink and protected by intellectual property laws. You may not copy, modify, or distribute any part of our Service without our written permission.

5.2 Your Content

You retain ownership of all content you create or upload to Tonemark, including:

• Writing samples you upload for voice learning
• Personas and brand voices you create
• Knowledge base documents
• Content generated using our AI tools

By using our Service, you grant us a limited license to process your content solely to provide the Service. We do not claim ownership of your content and will not use it for any other purpose without your consent.

6. AI-Generated Content

You understand and agree that:

• AI-generated content is a starting point and may require editing
• You are responsible for reviewing and fact-checking AI output before publishing
• We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content
• You are solely responsible for any content you publish using our Service
• AI outputs may occasionally be unexpected or incorrect

Important: Always review AI-generated content before publishing. Do not publish content that is inaccurate, misleading, or could cause harm.

7. Third-Party Services

Tonemark integrates with third-party services including:

• LinkedIn: For publishing content and accessing your profile
• Google: For authentication and AI services
• Stripe: For payment processing

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions or policies of third-party services.

8. Payment Terms

8.1 Free Plan

We offer a free plan with limited features and usage. Free plans may be modified or discontinued at any time.

8.2 Paid Plans

Paid plans are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you agree to:

• Pay all applicable fees
• Provide accurate billing information
• Automatic renewal unless cancelled before the renewal date

8.3 Refunds

Refunds are handled on a case-by-case basis. If you are unsatisfied with our Service, contact us at privacy@tonemark.ai within 14 days of purchase to request a refund.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our Service is provided "as is" without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim
• We are not responsible for content you publish or actions you take based on AI-generated content

10. Indemnification

You agree to indemnify and hold harmless Ultrathink and its employees from any claims, damages, or expenses arising from:

• Your use of the Service
• Content you create or publish
• Your violation of these Terms
• Your violation of any third-party rights

11. Termination

By you: You may terminate your account at any time by going to Settings → Account → Delete Account or by contacting us.

By us: We may suspend or terminate your account if you violate these Terms or engage in activities that harm our Service or other users. We will provide notice when possible.

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

12. Governing Law

These Terms are governed by the laws of Poland and the European Union. Any disputes shall be resolved in the courts of Krakow, Poland, unless you are a consumer entitled to bring proceedings in your place of residence.

If you are a consumer in the EU, you also have access to the European Online Dispute Resolution platform at ec.europa.eu/odr.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
